Terms & license agreement
1. Who you are contracting with
NegBreaker is developed and published by Philip Jeremias Eltester, Brunnenstr. 46, 40223 Düsseldorf, Germany ("we", "us"). These terms govern your use of the NegBreaker software.
Your purchase itself is a contract with Paddle, not with us. Paddle.com Market Ltd. acts as Merchant of Record: they are the seller of record, issue your invoice, collect payment and handle VAT. Anything about payment, invoices, refunds or chargebacks is governed by Paddle's buyer terms and handled by Paddle. This document covers only the licence to use the software.
2. Licence
On purchase you receive a licence key. That key grants you a perpetual, non-exclusive, non-transferable licence to install and use NegBreaker for personal or commercial work.
- The licence is issued to the email address used at purchase and is tied to it.
- You may install NegBreaker on any Mac you personally own or use.
- The licence covers all 1.x updates at no extra cost. A future major version may be a paid upgrade.
- There is no subscription and no recurring charge.
3. What you may not do
- Share, resell, sublicense or publish your licence key.
- Reverse engineer, decompile or modify the software, except where such a restriction is void under applicable law.
- Remove or circumvent the licensing mechanism.
A licence key that is published or distributed may be revoked for future versions.
4. Your images stay yours
NegBreaker runs entirely on your Mac. It does not upload your photographs, does not require an account, and does not phone home. We never receive your images and hold no rights whatsoever in them or in anything you create with the software.
5. Trial
NegBreaker can be used without a licence for a limited number of imports (currently 24 images). The trial is provided as-is so you can judge the software on your own scans before paying.
6. Refunds
Refunds are processed by Paddle under their buyer terms. We offer a 30-day money-back guarantee: if NegBreaker does not do what you expected, contact hello@negbreaker.app within 30 days of purchase and we will ask Paddle to refund you. No reasoning required.
This is offered voluntarily and in addition to any statutory rights. Consumers in the EU have a statutory right of withdrawal for digital content, which may lapse once download begins with your express consent — Paddle collects that consent at checkout. Your statutory rights are not limited by this section.
7. Warranty and liability
NegBreaker is provided "as is". We do not warrant that it is free of defects or that it fits any particular purpose, and we do not warrant uninterrupted availability of downloads or updates.
NegBreaker processes copies of your files and is not a backup tool. Keep your original scans. We are not liable for lost or damaged image data.
To the extent permitted by law, our liability is limited to intent and gross negligence. Liability for injury to life, body or health, and under the German Product Liability Act, remains unaffected. In cases of slight negligence we are liable only for breach of an essential contractual obligation, and only up to the foreseeable damage typical for this type of contract.
8. Changes
We may change these terms for future purchases. The version you agreed to at purchase continues to apply to your licence.
9. Governing law
These terms are governed by the law of the Federal Republic of Germany, excluding its conflict-of-law rules. Mandatory consumer protection law of your country of residence is unaffected.
